Welcome to Mezoui Consulting Group. These Terms of Service ("Terms") govern your access to and use of the website mezouiconsulting.com and all services provided by Mezoui Consulting Inc., doing business as Mezoui Consulting Group ("Company," "we," "us," or "our").
By accessing our website, booking a discovery call, registering for a workshop, engaging our consulting services, or otherwise using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.
1. Services Offered
Mezoui Consulting Group provides consulting and advisory services to not-for-profit organizations. Our services include but are not limited to: Workshop and Meeting Facilitation, Consulting Services, Advisory Services, and Coaching Services. Specific details, deliverables, and pricing for each engagement will be outlined in a separate service agreement or proposal provided to you.
2. Eligibility
Our services are intended for businesses, organizations, and professionals. By using our services, you represent that you are at least 18 years of age and have the legal authority to enter into binding agreements on behalf of yourself or your organization.
3. Booking and Engagement Process
Discovery Call: You may request a discovery call through our website contact form or by emailing us directly. These consultation calls are subject to availability and scheduling confirmation.
Service Agreements: For all engagements, a separate service agreement or statement of work will be provided outlining the scope, deliverables, timeline, fees, and payment terms. These Terms of Service shall apply in addition to any service agreement, and in the event of a conflict, the service agreement shall prevail.
Confirmation: Engagements are not confirmed until we have received a signed agreement and any required deposit or payment as specified in the proposal.
4. Fees and Payment
Pricing: Fees for our services are provided upon inquiry and outlined in your service agreement. Pricing may vary based on the scope of engagement, delivery format (virtual or in-person), and any travel or accommodation requirements.
Payment Terms: Payment terms will be specified in your service agreement. Unless otherwise stated, a deposit may be required to secure your engagement, with the balance due according to the agreed schedule.
Late Payments: Overdue payments may be subject to late fees as specified in your service agreement. We reserve the right to suspend or terminate services for accounts with outstanding balances.
5. Cancellation and Rescheduling
Consultation Calls: If you need to cancel or reschedule a call, please provide at least 24 hours' notice. Repeated no-shows may result in restricted access to booking.
Workshops and Consulting Engagements: Cancellation and rescheduling policies for workshops and consulting engagements will be specified in your service agreement. Generally, cancellations made within 14 days of a scheduled workshop may be subject to cancellation fees.
Refunds: Refund eligibility depends on the timing of cancellation and the terms specified in your service agreement. Deposits may be non-refundable. We will work with you in good faith to accommodate reasonable rescheduling requests.
6. Intellectual Property
Our Content: All content on our website and provided through our services, including but not limited to text, graphics, logos, images, frameworks, methodologies, training materials, presentations, and assessments, is the intellectual property of Mezoui Consulting Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws.
Limited License: We grant you a limited, non-exclusive, non-transferable license to use materials provided during workshops, consulting, or coaching engagements solely for your organization's internal purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit our materials without our prior written consent.
7. Confidentiality
During our engagement, both parties may share confidential information. Each party agrees to maintain the confidentiality of the other's proprietary information and not disclose it to third parties without prior written consent, except as required by law. This obligation survives the termination of any engagement.
8. Client Responsibilities
To ensure successful delivery of our services, you agree to: provide accurate and complete information as requested; make key stakeholders available for workshops, interviews, and meetings as scheduled; provide timely feedback and approvals as needed; and ensure appropriate facilities and technology for in-person or virtual sessions.
9. Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee specific results from our workshops, consulting, or coaching services. Organizational transformation depends on many factors beyond our control, including your organization's commitment, implementation, and circumstances.
10. Limitation of Liability
To the maximum extent permitted by law, Mezoui Consulting Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claims arising from or related to these Terms or our services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Mezoui Consulting Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses arising out of or related to: your breach of these Terms; your use of our services; your violation of any law or regulation; or your violation of any third-party rights.
12. Governing Law and Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.
Dispute Resolution: Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association.
13. Termination
We reserve the right to suspend or terminate your access to our website or services at any time, with or without cause, and with or without notice.
14. Modifications to Terms
We may update these Terms from time to time. Any changes will be posted on this page with an updated effective date. Your continued use of our website or services after any changes constitutes your acceptance of the updated Terms.
